Attorney - Capital Markets & Securities (Latin America) NY, NY. Oversee the provision of legal services to Brazilian, LatAm & multinational companies & investment banks in connection w/ a wide range of Brazilian-based & LatAm-based cross-border transactions. Reqs JD or Master of Laws deg, or foreign equiv. Must have 4 yrs exp as an attorney representing public & private Brazilian-based, LatAm-based & foreign companies & investment banks in cross-border equity & debt capital mkts transactions, corporate governance & securities matters. Exp must incl: advising companies & investment banks w/ respect to a diverse range of equity & debt capital mkts matters in Brazilian-based & LatAm-based cross-border transactions, incl debt capital mkts transactions valued at $1 billion; drafting & reviewing principal securities transaction documents, incl underwriting agreements, dealer manager agreements, placement agreements, lock-up agreements, indentures, legal opinions, comfort letters, other agreements & documents rltd to a diverse range of equity & debt capital mkts matters; drafting & reviewing Brazilian, LatAm & U.S. prospectuses, offering memoranda & other offering documents in Portuguese & English; conducting due diligence review of securities transactions documents; prep'g & review'g Securities & Exchange Commission (SEC) filings for reporting companies in connection w/ ongoing SEC disclosure & securities laws matters; researching & prep'g legal memoranda rltd to securities offerings & SEC filings, general corporate law, securities laws, listing rules & regs; coord'g work rltd to cross-border securities offerings w/ local counsel & other advisors in int'l jurisdictions, incl Brazil & LatAm; & providing ongoing advice rltd to compliance w/ corporate governance & securities laws & regs. Must be fluent in written & spoken Portuguese, incl legal & fin'l terminology. Must be licensed to practice law in NY. $440,000 - $450,000.
